Do I acquire a New York shelf company or a shelf company from another state?

Please consider these issues:

1.  FEES:  When acquiring any New York shelf company, you are paying the fees that the previous owner paid plus a premium.  This means that a quality shelf company from New York is extraordinarily high because of the incorporation and maintenance costs.

On the contrary, a company from Montana, Wyoming or New Mexico cost less to form and maintain.  Therefore, the cost of the shelf company is much less. 

2.  BUSINESS LICENSES & REPORTS: Further, New York requests that the owners are disclosed on annual reports and licenses.  Lacking these NY licenses are a problem when applying for corporate credit.  And since these licenses (if they would exist), don't have your name on them, a change of ownership is evident. 

The states of Montana, Wyoming and Mexico don't ask for information on the owners of the companies.  Therefore, any change of ownership is not reported.  Remember that a change of ownership may be reset the date of the shelf corporation or shelf LLC.

ANSWER:  BUY A MONTANA SHELF CORPORATION AND THEN FILE IT IN THE STATE OF NEW YORK.

This is the best solution for several reasons:

a.  The company costs less to acquire.

b.  A change of ownership is not reflected when the shelf company is acquired.

c. Maintenance costs are lower in Montana, Wyoming and New Mexico.  Maintenance costs with the New York Secretary of State and business licenses are high.  This means you pay less with a shelf company from Montana, Wyoming or New Mexico.

d.  When the MT, WY or NM company files, as a foreign corporation or foreign LLC in New York, it appears that the company is expanding into that state.
