DELAWARE SHELF CORPORATIONS
What's a foreign company? How does that vary from a domestic company?
In whatever state you live in, a company filed in that same state is considered a domestic corporation. A corporation filed in any other state is a foreign corporation. For example, a Delaware corporation is domestic to the state of Delaware. But it’s considered a foreign corporation in any other state; such as a Delaware company in Texas. Likewise, a Texas corporation is domestic to the state of Texas. The Texas company would then be foreign to the State of Delaware.
Knowing the above, doing business in your state may require a “foreign filing” if the company was initially filed in another state.
First, why not obtain a shelf company made in Delaware?

Delaware collects information on stockholders on the state or local level (business license). A change of ownership usually translates into a “new company” even though it may be several years old. Bankers consider companies as “new” when the owners change. As for states such as Montana, Wyoming and New Mexico, stockholder info is not collected. Therefore, the transfer of ownership is not transparent on the public record.

Delaware shines at services big business, and companies that are publicly traded. Delaware is not the best place to incorporate for small business. In fact, small business is best served by Wyomng, Montana and New Mexico. Small business is best served by Montana when it comes to building business credit.

Delaware is known as a state that produces shelf companies. As a result, Delaware corporations and Delaware LLC’s are more scrutinized than companies from other states, when a funding decision is involved.
What states produce the best shelf corporations and LLC's?
Look at states that respect property rights and costs less to maintain.
Montana
$20 per year in annual fees, great respect for property rights, and owners do not need to disclose their interest to the State of Montana. Montana shelf companies are best for building business credit.
Wyoming
$50 per year in annual fees, great respect for property rights, and owner do not need to disclose their interest to the State of Wyoming. Wyoming plays second fiddle to Montana when building business credit.
New Mexico
$0 per year in annual fees, moderate respect for property rights, and owners do not need to disclose their interest to the State of New Mexico. New Mexico is a cheap alternative but a mediocre alternative for a shelf company to build business credit.
What states produce the worst shelf corporations and LLC's for building business credit?
Delaware corporations and LLC's poses the most problems when attempting to build business credit. This is due to the mortgage crisis of 2006 through 2010. There were so many mortgages and commercial loans that went bad involving Delaware corporations and LLC's.
Delaware is also moving against the use of shelf companies. They are doing this by disallowing registered agents in Delaware from offering shelf companies, or even from doing so through an affiliate. Proof here. Why is the DE Secretary of State doing this? Because the State of DE makes $500 per an expedited filing. When registered agents offer shelf companies, they avoid paying this high DE State fee. The State of DE doesn't like competition, and is discouraging the practice of filing shelf companies for this reason. The DE registered agents don't want to stand up to the State of DE, and comply as a result. This means that DE registered agents are moving away from making and offering shelf companies to the public.
What's the solution when you're set on acquiring a DE shelf company?
The solution is simple. Acquire a nine year old shelf company from Montana for $1995, at a much lower cost, and then convert it to a DE company for a fee of $800. This brings the cost down dramatically, to about half of the cost of acquiring a DE shelf company. A comparatively priced DE company is $8000.

Accessing Corporate Information
1. Corporate Status – On the Web – (This application will reflect the status of an entity but will not generate an official certificate of good standing) You may check corporate/entity status on the web for a fee of $10.00 per entity for status or $20.00 per entity for more detailed information including current franchise tax assessment, current filing history and more. You may pay using the following options online:

2. In Person – You may visit our public terminals to research corporate information at our office located at 401 Federal Street in Dover, Delaware.
3. Direct Web Access – You may purchase Direct Web Access to Delaware corporate information by contacting an Authorized Vendor. Vendors may charge a fee for this service.
4. Certified Certificate of Status – You may order a Certificate of Status or Certificate of Good Standing by submitting a request in writing to the Division of Corporations. The fee is $50.00 per certificate for a short form certificate of status (includes the name of the entity and the status at the time the certificate is issued) or $175.00 for a Long Form certificate of Good Standing (states all documents that have been filed, including the dates and times and any name changes that occurred along with the status at the time the certificate is issued). You may either use a Certification Request Memo or your corporate letter head. Please include your name, address, phone number, a fax number and an email address if available. You must specify if you are requesting Expedited Services. You may contact an Expedited Service Representative at 302/739-3073 for information on Expedited fees. All requests are sent out first class mail unless you provide a Federal Express or UPS account number on your request. No requests can be returned via fax or email. - Don't use a nominee officer/contract officer if you're applying for corporate credit.
- Lenders prefer companies that are at least two years old.

- Obtain a commercial address where you intend to do business
- Obtain the phone number, using the commercial address as the billing address
