  • States usually record the owners of a company.  NM doesn't.  This is important to you because a change of company ownership means the bank will treat it differently.  In the eyes of the bank, a change of ownership may reset the respected age of the company to zero.  Therefore, you're better off acquiring an aged shelf company from a state that doesn't record ownership data on the companies filed.  NM is one of those better states that don't even have an annual report.

  • The less expensive solutions is to acquire an aged shelf company from NM and then file it in the state where you seek to do business.
